1. Definitions and Agreement

1.1 These Terms and Conditions apply to all services provided by Architype, a trading name of Steve Gabbett (“Architype”, “we”, “us”), to the client (“Client”, “you”).

1.2 These Terms, together with any written proposal, quotation or scope of work issued by Architype (“Proposal”), constitute the entire agreement between Architype and the Client and supersede any prior discussions or agreements.

1.3 Instruction of work or acceptance of a quotation constitutes acceptance of these terms and conditions.

2. Scope of Services

2.1 Architype provides bespoke design, photography and related marketing services tailored to the specific requirements outlined in the agreed Proposal.

2.2 The scope of work, deliverables, timelines and fees are defined in the Proposal. Any work not explicitly included shall be considered out of scope and may be subject to additional fees.

2.3 Architype reserves the right to revise timelines where delays are caused by the Client, including late provision of information, feedback or approvals.

3. Client Responsibilities

3.1 The Client is responsible for providing accurate, complete and timely information, materials and approvals necessary for the delivery of the services.

3.2 The Client agrees to adhere to agreed timelines and feedback stages to allow the project to progress efficiently.

3.3 Architype shall not be liable for delays or issues arising from incomplete, inaccurate or late information supplied by the Client.

4. Fees and Payment Terms

4.1 Fees are as set out in the Proposal and are stated in British Pounds Sterling (£) unless otherwise agreed in writing.

4.2 Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.

4.3 Architype reserves the right to invoice in part or in full where work is delayed due to Client actions or where milestones have been met.

4.4 In the event of late or missed payment, Architype reserves the right to suspend ongoing work and, where applicable, require the Client to discontinue use of delivered materials until payment is received in full.

4.5 Late payments will incur statutory interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4.6 The Client agrees to pay all reasonable costs incurred in recovering overdue payments, including legal fees and third-party collection agency fees.

5. Amendments and Revisions

5.1 The Proposal will specify the number of amendment or revision rounds included within the quoted fee.

5.2 Revisions are defined as reasonable changes to the agreed design direction or content. Requests that materially alter the scope, direction or agreed deliverables may be treated as additional work.

5.3 Additional revisions or out-of-scope work will be charged at the prevailing hourly rate or as otherwise agreed in writing.

6. Deliverables and Acceptance

6.1 Deliverables shall be supplied in the formats specified in the Proposal.

6.2 The Client shall review and approve deliverables within a reasonable timeframe. Where no response is received within ten (10) working days, the work may be deemed accepted.

7. Intellectual Property and Usage

7.1 All intellectual property rights in the work remain the property of Architype until full payment has been received.

7.2 Upon receipt of full payment, the Client is granted a licence to use the deliverables for the purposes outlined in the Proposal.

7.3 In the event of non-payment, Architype reserves the right to suspend or withdraw permission to use supplied materials, including but not limited to websites, online listings, digital marketing, social media and printed collateral, until all outstanding balances have been settled in full.

7.4 Architype retains the right to display completed work in its portfolio, website and marketing materials unless otherwise agreed in writing.

8. Cancellation and Termination

8.1 Either party may terminate services by providing written notice.

8.2 In the event of termination, the Client shall pay for all work completed up to the termination date, including any committed third-party costs.

8.3 Photography bookings cancelled or postponed with less than 48 hours’ notice may be subject to a cancellation fee.

9. Liability

9.1 Architype’s total liability, whether in contract, tort or otherwise, shall be limited to the total fees paid by the Client for the relevant services.

9.2 Architype shall not be liable for any indirect or consequential loss, including loss of profit, business or opportunity.

10. Force Majeure

10.1 Architype shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, governmental actions or natural disasters.

11. Governing Law

11.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

12. Updates to Terms
